Terms of Service

These Terms of Service (the “Terms”) govern your use of RemaGem, an AI-powered thumbnail and asset generation service for the iGaming industry, available at www.remagem.com (the “Service”). Please read them carefully.

1. Acceptance of these Terms

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or other organisation, you confirm you are authorised to bind that organisation, and “you” means that organisation.

2. Eligibility

You must be at least 18 years old to use the Service. The Service is intended for business and professional use in the iGaming industry. By using it you confirm you meet this age requirement and that you are not barred from using the Service under any applicable law.

3. Your account

  • You must provide accurate information when registering, and keep it up to date.
  • You are responsible for keeping your credentials secure and for all activity that happens under your account.
  • Tell us promptly at support@remagem.com if you believe your account has been compromised.
  • Do not share your account with others or resell access to it without our written permission.

4. Acceptable use

You agree not to:

  • Upload any image or other content that you do not own or otherwise have the rights to use and to have processed by AI models.
  • Upload or generate content that infringes anyone’s intellectual property, privacy, or publicity rights.
  • Upload or generate content that is unlawful, defamatory, hateful, harassing, or sexually explicit, or that depicts a real person without their permission.
  • Use the Service to promote gambling in any jurisdiction where doing so is unlawful, or in breach of any licensing, advertising, or responsible-gambling rules that apply to you. Regulatory compliance for the creatives you produce is your responsibility.
  • Attempt to circumvent credit limits, rate limits, or any other technical restriction, or use automated means to access the Service beyond its documented interfaces.
  • Reverse-engineer, decompile, or attempt to derive the source code, models, or prompts underlying the Service, except to the extent that restriction is prohibited by law.
  • Interfere with the integrity or performance of the Service, or probe or test its security without our prior written consent.

5. Credits and payment

  • The Service runs on prepaid credits. You purchase credit packages in advance, and credits are deducted from your balance each time you run a generation.
  • Credits are non-refundable once spent. Because each generation incurs immediate third-party AI inference costs on our side, we cannot refund credits that have been consumed — including where you are unhappy with the creative result. To the extent permitted by law, this applies regardless of your satisfaction with the output.
  • If a generation fails for technical reasons on our side, we will retry it or restore the consumed credits. Failed items can be retried from the generation detail page.
  • New accounts may receive a promotional sign-up credit (currently $5). Promotional credit has no cash value, is not redeemable for money, is non-transferable, and may be modified or withdrawn for future sign-ups at any time.
  • Credits are tied to your account, are not transferable between accounts, and have no cash value. Unused purchased credits remain available while your account is in good standing.
  • Prices and credit costs per generation may change. Changes apply to purchases and generations made after the change takes effect, not retroactively to credits you already hold.
  • You are responsible for any taxes applicable to your purchases, other than taxes on our income.

Where you are a consumer in a jurisdiction that grants you a statutory right of withdrawal or refund, nothing in this section limits that right.

6. Your content

You keep ownership of everything you upload. The images and other material you supply to the Service (“Your Content”) remain yours, and these Terms transfer no intellectual property in them to us.

To operate the Service, you grant RemaGem a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, and modify Your Content, and to transmit it to our third-party AI processors (see our Privacy Policy), solely for the purpose of providing the Service to you — that is, running the generations you ask for, storing the results, and serving them back to you. This licence ends when you delete the content or your account, except for copies retained in routine backups until they expire.

We do not use Your Content to train our own or third parties’ AI models.

You represent that you have all rights necessary to upload Your Content and to grant the licence above.

Support messages. When you contact us, you also grant us permission to store your message and to transmit it to our third-party AI processors so that we can diagnose the issue and prepare a response. This is separate from the licence over Your Content above, and is limited to handling your request. See our Privacy Policy for detail.

7. Generated output

  • To the extent RemaGem holds any rights in the images the Service generates from your inputs (“Output”), we assign those rights to you, and you may use the Output commercially — subject to your compliance with these Terms and to your actually holding the rights in the inputs you supplied.
  • AI output may not be protectable by copyright in some jurisdictions. We make no representation that you can obtain or enforce copyright in the Output.
  • The Service is not deterministic and is used by many customers. Output produced for other users from similar inputs may resemble yours. We do not guarantee that any Output is unique, original, or non-infringing, and we grant you no exclusivity over any visual style or result.
  • You are responsible for reviewing Output before you publish or distribute it, including for accuracy, brand compliance, and any regulatory requirements that apply to gambling advertising in your markets.

8. Public gallery

Generations are private to your account by default. A RemaGem administrator may mark a generation as public, which makes its Output images visible to all logged-in RemaGem users in the Gallery, where they can be viewed and downloaded. Your account identity, prompts, and generation configuration are not shown. If you want a generation removed from the public gallery, email support@remagem.com and we will remove it.

9. Service availability and changes

We may add, change, or remove features, and we may impose or adjust limits, at any time. We aim for high availability but do not guarantee uninterrupted service, and the Service may be unavailable during maintenance or because of a third-party provider outage.

10. No warranty

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

In particular, we do not warrant that Output will be accurate, suitable for your purpose, brand-safe, unique, free of artefacts, or free of third-party rights, or that the Service will be error-free or uninterrupted. AI generation is inherently probabilistic — always review Output before use.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, RemaGem is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service, even if we have been advised of the possibility.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the total amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify and hold RemaGem harmless from claims, damages, and reasonable costs arising from Your Content, your use of the Output, or your breach of these Terms or of applicable law.

13. Suspension and termination

  • You can stop using the Service and request account deletion at any time by emailing support@remagem.com.
  • We may suspend or terminate your account if you materially breach these Terms, if your use creates a legal or security risk, or if required by law. Where practical and lawful, we will give notice and an opportunity to fix the problem first.
  • On termination for breach, unused credits are forfeited. On termination for any other reason, you may request a refund of unused, purchased (non-promotional) credits.
  • Download anything you want to keep before your account closes. After deletion we may not be able to recover your uploads or Output.
  • Sections 6, 7, 10, 11, 12, 14, and 15 survive termination.

14. Changes to these Terms

We may update these Terms. We will change the “Last updated” date above, and for material changes we will give notice by email or in-app before they take effect. Continuing to use the Service after that means you accept the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. The competent courts of Tel Aviv-Yafo, Israel have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

If you are a consumer resident in the EU/EEA or another jurisdiction with mandatory consumer protection rules, this clause does not deprive you of the protection of the mandatory law of your country of residence or of your right to bring proceedings there.

16. General

  • These Terms and the Privacy Policy are the entire agreement between you and RemaGem about the Service.
  • If any provision is held unenforceable, the rest stays in force and the provision is limited to the minimum extent necessary.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
